This Vendor Agreement (“Agreement”) is entered into on [Date], by and between:

Together referred to as the “Parties.”

1. Scope of Goods/Services

The Vendor agrees to provide the following goods/services to the Client:

2. Term

9. Limitation of Liability

Neither Party shall be liable for indirect or consequential damages. Liability is limited to the total amount paid under this Agreement, except in cases of fraud or gross negligence.
