Master Service Agreement (MSA) 

This Master Service Agreement (“Agreement”) is entered into on [Date], by and between:

Each may be referred to as a “Party” and collectively as the “Parties.” 

1. Purpose  

This Agreement establishes the general terms under which the Service Provider will perform certain services for the Client. Specific details (scope, timelines, fees) will be set forth in separate Statements of Work (SOW). 

2. Scope of Services

Each SOW shall reference this MSA and detail:

• Deliverables 

• Milestones/timelines 

• Payment terms 

2.2 Changes 

Changes to a signed SOW must be agreed in writing (Change Order). 

3. Fees and Payment

4. Confidentiality 

Both Parties shall maintain the confidentiality of any proprietary or confidential information exchanged under this Agreement.

6. Warranties and Liabilities
