1. Representations and Warranties

1.1 Seller Representations. Seller represents that Seller has authority to sell the Business and that Included Assets are free of undisclosed liens except as listed in [Schedule F: Permitted Liens].

1.2 Buyer Representations. Buyer represents authority to purchase and sufficient resources to complete the purchase on the terms stated in this Agreement.

1.3 Disclosure Schedules. The disclosures supporting these representations are set out in [Schedule I: Disclosure Index] and related schedules.


2. Parties and Business Description

This Business Sale Agreement (the “Agreement”) is entered into on [Date], by and between Seller: [Full Legal Name / Company Name] and Buyer: [Full Legal Name / Company Name] (the “Parties”).

Seller agrees to sell, and Buyer agrees to purchase, the Business operating as [Business Name] located at [Business Address].


3. Purchase Price and Payment
