Together referred to as the “Parties.”
“Inventions” means any discoveries, improvements, designs, processes, software, works of authorship, or trade secrets conceived, developed, or reduced to practice during the course of employment or engagement with the Company.
The Employee/Contractor hereby assigns to the Company all rights, title, and interest in any Inventions created during the term of employment or engagement that relate to the Company’s business or result from use of Company resources.

The Employee/Contractor agrees to provide reasonable assistance to the Company in securing patents, copyrights, or other protections for assigned Inventions, even after termination of employment.
This Agreement shall be interpreted in compliance with applicable state or local laws, which may restrict the scope of assignable inventions (e.g., inventions made entirely on personal time without Company resources).
Upon termination of employment or engagement, the Employee/Contractor shall return all confidential materials and records relating to Inventions.
This Agreement shall be governed by the laws of [State/Country].
