5. Security Deposit

Within the time required by applicable law after Tenant vacates the Parking Yard, removes all vehicles and property, and returns all keys/access devices, Landlord will return any remaining Security Deposit, less lawful deductions. 6. Permitted Use and Restrictions

6.1 Permitted Use

The Parking Yard may be used only for the following purposes (select or describe):

  • To comply with all applicable laws, zoning rules, fire codes, and environmental regulations.


7. Access, Gates, and Hours

Tenant will safeguard all access devices and codes and will share them only with Tenant’s employees, drivers, or authorized contractors. Landlord may change codes or access procedures upon reasonable notice, or immediately if needed for safety or security.


8. Vehicles, Trailers, and Equipment

Tenant may park and store only the following categories of vehicles and equipment in the Parking Yard:

Tenant will ensure that:

9. Maintenance and Repairs

9.1 Landlord Responsibilities

Landlord will:

  • Maintain the surface of the Parking Yard (pavement, gravel, or other surface) in a condition reasonably suitable for the permitted use, subject to weather and normal wear.

  • Maintain fencing, gates, and any lighting that Landlord has provided, as required by law and this Agreement.

  • Maintain common access roads and driveways under Landlord’s control.

9.2 Tenant Responsibilities

Tenant will:

  • Keep the Parking Yard area used by Tenant reasonably clean and free of trash, pallets, loose parts, and spilled materials.

  • Not intentionally damage pavement, fencing, gates, or structures.

  • Be responsible for damage to the Parking Yard or related improvements caused by Tenant’s vehicles, equipment, employees, or contractors, beyond normal wear and tear.

  • Promptly notify Landlord of hazards, damage, or unsafe conditions in or around the Parking Yard that Tenant becomes aware of.


10. Insurance and Risk of Loss

  • Tenant is responsible for insuring Tenant’s vehicles, trailers, equipment, and any personal property on the Parking Yard.

  • Tenant understands that Landlord’s insurance generally does not cover Tenant’s vehicles, equipment, or personal property.

  • Tenant uses and occupies the Parking Yard, and parks vehicles and equipment there, at Tenant’s own risk, except as otherwise required by applicable law or expressly stated in this Agreement.

This section does not allow Landlord to avoid duties imposed by local law regarding premises safety.


11. Compliance with Laws and Indemnity

Tenant will:

  • Comply with all applicable laws, regulations, and ordinances relating to the use of the Parking Yard and Tenant’s operations.

  • Obtain any permits or approvals required for Tenant’s activities at the Parking Yard.

To the extent permitted by law, Tenant will indemnify and hold Landlord harmless from claims, damages, or costs arising from Tenant’s use of the Parking Yard or Tenant’s breach of this Agreement, except to the extent caused by Landlord’s own negligence or wrongful acts.


12. Default and Remedies

12.1 Tenant Default

Tenant is in default if Tenant:

  • Fails to pay rent or required fees when due and does not cure within any applicable notice or grace period;

  • Materially breaches this Agreement or any written yard rules and does not cure within any required notice period;

  • Uses the Parking Yard for illegal purposes.

If Tenant defaults, Landlord may take actions allowed by law, which may include:

  • Written notice of default and an opportunity to cure;

  • Termination of this Agreement;

  • Lawful steps to recover possession of the Parking Yard and to have Tenant’s vehicles and equipment removed, subject to any required legal procedures.

12.2 Landlord Default

Landlord is in default if Landlord materially fails to perform obligations under this Agreement or applicable law after any required notice and cure period. Tenant’s remedies will be those available under local law and any lawful terms of this Agreement.


13. Termination and Surrender

When this Agreement ends for any reason, Tenant will:

  • Pay all rent and charges owed through the end of the Lease term;

  • Remove all vehicles, trailers, equipment, and personal property from the Parking Yard by the termination date or any other date agreed in writing;

  • Leave the Parking Yard in reasonably clean condition, free of trash and abandoned items, subject to normal wear and tear;

  • Return all keys, cards, fobs, remotes, and other access devices to Landlord.

Any property left behind may be handled according to applicable law, which may include storage, towing, sale, or disposal after any required notices.


14. Notices

All notices under this Agreement must be in writing and delivered by one or more of the following methods, as permitted by law:

  • Personal delivery;

  • Certified or registered mail;

  • Recognized courier service;

  • Email to the addresses listed in Section 1, if both parties agree to accept email notices.

Notices will be sent to the addresses in Section 1 unless a party provides a new notice address in writing.


15. Miscellaneous

Governing Law:
This Agreement is governed by the laws of [State/Province, Country].

Entire Agreement:
This Agreement, together with any written yard rules and attachments referenced in it, is the entire agreement between the parties regarding the Parking Yard and replaces any prior written or oral agreements on the same subject.

Amendments:

Severability:
If any part of this Agreement is found invalid or unenforceable, the remaining provisions will continue in effect to the extent permitted by law.
