Collectively referred to as the “Parties.”
1. Purpose
The purpose of this Agreement is to establish the terms and conditions under which the Seller will sell, and the Buyer will purchase, the goods described herein for international delivery.
2. Goods Description
The Seller agrees to supply the following goods:

3. Price and Currency

10. Liability and Indemnification

The Buyer agrees to indemnify the Seller against claims arising from misuse or resale of goods.
11. Dispute Resolution
Disputes shall first be resolved through negotiation.
If unresolved, disputes shall be referred to arbitration in [Location] under the rules of [Arbitration Institution].
12. Governing Law

13. Termination
