Lessor and Lessee may be referred to individually as a “Party” and together as the “Parties”.

1. Motorcycle and Lease Overview

1.1 Leased Motorcycle. Lessor leases to Lessee the following motorcycle (“Motorcycle”):

All included items must be returned with the Motorcycle in substantially the same condition, reasonable wear and tear excepted.

1.3 Intended Use. The Motorcycle is leased for [personal / business] use as on-road transportation. It may not be used for racing, competitive events, off-road riding, or for carrying passengers or goods for hire unless Lessor expressly agrees in writing.

1.4 No Transfer of Ownership. This Agreement is a lease only. Lessee obtains the right to use the Motorcycle during the Lease Term but no ownership interest, unless a purchase option in Section 11 is properly exercised.

2. Lease Term, Delivery, and Possession

2.1 Lease Term. The lease term begins on:

2.2 Delivery and Acceptance. Lessor shall deliver, and Lessee shall accept, the Motorcycle at:

2.3 Possession and Risk. From the moment Lessee takes possession until the Motorcycle is returned and accepted by Lessor, Lessee is responsible for the Motorcycle as provided in this Agreement.

2.4 Holdover. If Lessee retains the Motorcycle after the Lease End Date without a written extension, Lessor may charge a holdover fee of [Currency and Amount] per day, in addition to other amounts due.

3. Lease Payments and Security Deposit

3.1 Lease Payments. Lessee shall pay Lessor:

3.2 Amount Due at Signing. On or before the Lease Start Date, Lessee shall pay:

Lessor may apply the Security Deposit to unpaid Lease Payments, excess mileage charges, damage beyond normal wear and tear, missing accessories, cleaning fees, or other amounts owed under this Agreement.

3.4 Return of Security Deposit. Within [Number] days after the Motorcycle is returned and inspected, Lessor shall return any remaining Security Deposit balance to Lessee, together with an itemized statement of any deductions.

3.5 Late Payments. Any Lease Payment not received within [Number] days after the due date may incur:

• Interest on the overdue balance at [Percentage]% per year or the maximum allowed by law.

4. Mileage, Territory, and Permitted Use

4.1 Mileage Allowance. Lessee is allowed up to:

• Use the Motorcycle for racing, stunts, off-road riding, or track days;

• Use the Motorcycle for courier, delivery, or ride-hailing services without written consent;

• Use the Motorcycle to tow other vehicles, trailers, or loads;

• Carry more passengers than the Motorcycle is designed for;

• Tamper with the odometer or safety systems.

5. Riders, Licensing, and Safety Gear

5.1 Authorized Riders. Only the following individuals may operate the Motorcycle (each an “Authorized Rider”):

5.2 Age and Licensing. Each Authorized Rider must:

• Be at least [Minimum Age] years old; and

• Hold a valid motorcycle license or endorsement appropriate for the Motorcycle and jurisdiction.

5.3 Experience. By signing this Agreement, Lessee represents that each Authorized Rider has sufficient experience operating motorcycles similar in size and power to the Motorcycle.

5.4 Helmet and Safety Gear. Lessee and all passengers must comply with any helmet and protective gear laws. Lessor strongly recommends that all riders and passengers wear a helmet, gloves, sturdy footwear, and protective clothing at all times while riding.

6. Condition, Maintenance, and Repairs

6.1 Condition at Delivery. Lessee acknowledges receiving the Motorcycle in good working order, except as noted in any written condition report.

6.2 Lessee’s Duty of Care. Lessee shall:

• Use the Motorcycle carefully and responsibly;

• Check basic items (tires, brakes, lights) on a regular basis;

• Keep the Motorcycle reasonably clean;

• Protect the Motorcycle from theft, vandalism, and weather damage.

6.3 Routine Maintenance. The Parties agree that:

• [Lessor / Lessee] is responsible for routine maintenance such as oil changes, chain lubrication, and scheduled servicing;

• [Lessor / Lessee] is responsible for tire replacement, brake pads, and other wear items.

Any specific maintenance schedule can be attached as an exhibit.

6.4 Repairs Due to Normal Wear. Repairs required solely due to normal wear and tear or manufacturer defects are the responsibility of [Lessor / Lessee], subject to any warranties and applicable law.

6.5 Repairs Due to Misuse. Repairs required due to misuse, abuse, accidents caused by Lessee or riders, or violation of this Agreement are the responsibility of Lessee.

6.6 Modifications. Lessee shall not make structural, mechanical, or cosmetic modifications to the Motorcycle without Lessor’s written consent. Any approved modifications become part of the Motorcycle and remain with it at the end of the Lease Term, unless otherwise agreed.

7. Fuel, Fluids, and Operating Costs

7.1 Fuel. The Motorcycle is delivered with fuel level at: [Fuel Level]. Lessee shall return the Motorcycle with [Fuel Level / Full Tank], or Lessor may charge a refueling fee of [Currency and Amount] or [Currency and Amount] per [unit].

7.2 Fluids. Lessee shall not operate the Motorcycle if oil, coolant, or other critical fluids are clearly low or leaking. If Lessee notices fluid issues, Lessee shall stop using the Motorcycle and notify Lessor.

7.3 Operating Expenses. Lessee is responsible for fuel, tolls, parking, and similar operating expenses during the Lease Term.

8. Insurance and Risk of Loss

8.1 Required Insurance. Throughout the Lease Term, Lessee shall maintain insurance that covers operation of the Motorcycle, including:

• Liability coverage of at least [Currency and Amount] per person and [Currency and Amount] per occurrence; and

• Any additional coverage required by law or specified by Lessor in writing.

Lessor may require that Lessor be named as an additional insured and/or loss payee on Lessee’s policy.

8.2 Proof of Insurance. Lessee shall provide proof of required insurance before taking possession of the Motorcycle and upon reasonable request during the Lease Term. Failure to maintain required insurance is a material breach of this Agreement.

8.3 Risk of Loss. Except to the extent caused by Lessor, Lessee bears the risk of loss, theft, or damage to the Motorcycle and included accessories while in Lessee’s possession or control, subject to applicable insurance and law.

9. Tickets, Fines, and Violations

9.1 Responsibility. Lessee is responsible for all parking tickets, traffic violations, congestion charges, tolls, and similar penalties incurred during the Lease Term.

9.2 Processing Fees. If Lessor receives notices of violations or tolls, Lessor may pay or transfer them as permitted and charge Lessee for the amounts plus an administrative fee of [Currency and Amount] per incident.

10. Accidents, Damage, Theft, and Indemnity

10.1 Incident Reporting. In the event of any accident, collision, injury, damage, or theft involving the Motorcycle, Lessee shall:

• Ensure safety and call emergency services if needed;

• Notify law enforcement if required by law;

• Notify Lessor as soon as reasonably possible;

• Provide copies of reports, citations, insurance documents, and photos.

10.2 Damage Responsibility. Subject to applicable insurance and law, Lessee is responsible for:

• Physical damage to the Motorcycle and accessories;

• Tire and wheel damage not caused by normal wear;

• Towing and storage charges resulting from incidents during the Lease Term;

• Loss or theft of the Motorcycle, especially if keys or security devices were not properly used or were mishandled.

10.3 Total Loss or Theft. If the Motorcycle is stolen or declared a total loss, Lessee may be liable up to the fair market value of the Motorcycle at the time of loss, less any insurance proceeds received by Lessor, to the extent permitted by law and this Agreement.

10.4 Indemnity. To the extent permitted by law, Lessee shall indemnify and hold Lessor harmless from third-party claims, damages, fines, and expenses arising from Lessee’s or any Authorized Rider’s use or operation of the Motorcycle in violation of this Agreement or applicable law, except to the extent caused by Lessor’s own negligence or wrongful acts.

11. End-of-Lease Return and Purchase Option

11.1 Return of Motorcycle. At the end of the Lease Term or upon earlier termination, Lessee shall return the Motorcycle:

• By the Lease End Date;

• To [Return Location];

• Clean and free of excessive dirt, mud, or debris;

• With all keys, documents, and included accessories.

11.2 Condition at Return. The Motorcycle shall be returned in substantially the same condition as at delivery, normal wear and tear excepted. Lessor may inspect the Motorcycle and document any new damage, missing items, or excessive wear.

11.3 Excess Wear and Cleaning. If the Motorcycle shows damage or wear beyond normal use, or if extra cleaning is required, Lessor may charge Lessee reasonable repair or cleaning costs, which may be deducted from the Security Deposit.

11.4 Purchase Option (if applicable).

12. Default and Termination

12.1 Events of Default. Lessee is in default if:

• Lessee materially breaches this Agreement (including prohibited use, unauthorized riders, or serious damage);

• Lessee becomes insolvent or ceases operations (if a business lessee).

12.2 Lessor’s Remedies. Upon default and subject to applicable law, Lessor may:

• Declare all remaining Lease Payments immediately due and payable, to the extent permitted by law;

• Terminate this Agreement;

• Recover possession of the Motorcycle in a peaceful and lawful manner;

• Apply the Security Deposit to amounts owed;

• Seek additional damages, interest, and reasonable enforcement costs.

12.3 Early Termination by Agreement. The Parties may at any time agree in writing to terminate this Agreement early on mutually acceptable terms, including payment of any agreed early termination amount and proper return of the Motorcycle.

13. Governing Law and Miscellaneous

13.1 Governing Law. This Agreement is governed by the laws of [State/Province, Country], without regard to conflict-of-law rules.

13.2 Entire Agreement. This Agreement contains the entire understanding between the Parties regarding the lease of the Motorcycle and supersedes all prior oral or written agreements on this subject.

13.3 Amendments. Any amendment or modification must be in writing and signed or clearly agreed by both Parties.

13.4 Assignment. Lessee may not assign this Agreement or transfer rights or obligations without Lessor’s prior written consent. Lessor may assign this Agreement or its interest in the Motorcycle, subject to applicable law.

13.5 Notices. Formal notices under this Agreement shall be in writing and delivered personally, by mail, by courier, or by email (with confirmation if required by law) to the contact details listed at the beginning of this Agreement or to updated details provided in writing.

13.6 Severability. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

13.7 Counterparts and Electronic Signatures. This Agreement may be signed in counterparts and by electronic signatures. Each counterpart is deemed an original, and all counterparts together form one instrument.

14. Signatures

By signing below, the Parties confirm that they have read, understood, and agree to be bound by this Motorcycle Lease Agreement.
