COPYRIGHT ASSIGNMENT AGREEMENT FAQ
What is a Copyright Assignment Agreement?
A Copyright Assignment Agreement is a legal contract used to transfer ownership rights in creative works—such as literary, artistic, musical, or software works—from the creator (or current owner) to another person or company. Once assigned, the recipient becomes the new copyright owner with exclusive rights.
Why is a Copyright Assignment Agreement important?
It provides legal certainty by clearly documenting who owns the rights to use, reproduce, distribute, or license the work. Without an assignment, ownership remains with the original author, even if another party paid for the work’s creation.
When should you use a Copyright Assignment Agreement?
Use it when purchasing rights to software, artwork, marketing content, literary works, or other copyrightable material. It is common in publishing deals, software development, design services, and corporate acquisitions.
What should a Copyright Assignment Agreement include?
It should identify the work being assigned, specify whether the transfer is full or partial, state any retained rights (if any), include representations of ownership, outline payment or consideration, and address governing law. Attachments may include copies or descriptions of the works.
Does the creator retain any rights after assignment?
Generally, no. An assignment transfers all rights unless the agreement specifies otherwise (e.g., retaining moral rights where recognized by law, or granting the assignee only specific uses). Parties should be clear about what is—and isn’t—being transferred.
