5. Client Responsibilities
The Client agrees to:

review reports, filings, and drafts when requested;
maintain access to required software, records, and accounts where applicable;
notify the Accountant of material changes affecting the Client’s finances, business structure, or tax status.
The Client remains responsible for the accuracy of information supplied to the Accountant.
6. Accountant Responsibilities
The Accountant agrees to:
perform the services in a professional and timely manner;
use reasonable care in preparing reports, records, and related work product;
communicate with the Client about information reasonably needed to complete the services;
maintain appropriate records relating to the services performed.
The Accountant is not responsible for delays caused by incomplete information, missing records, or late responses from the Client or third parties.
7. Books, Records, and Access
The Client will provide access to books, records, bank statements, receipts, invoices, payroll information, tax records, and other financial materials reasonably needed for the services.
Access may be provided through: [Accounting software / secure portal / email / physical records / other].
The Client is responsible for maintaining original records unless the parties agree otherwise in writing.
8. Tax and Regulatory Matters
If tax-related services are included, the Accountant will prepare or assist with the preparation of relevant filings based on information provided by the Client.
Unless specifically stated in this Agreement, the Accountant is not responsible for legal representation, tax litigation, audit defense, or providing formal legal opinions.
The Client remains responsible for reviewing and approving returns or filings before submission, where applicable.
9. Confidentiality
The Accountant agrees to keep the Client’s non-public financial and business information reasonably confidential, except where disclosure is required by law, professional standards, court order, government request, or with the Client’s consent.
The Client also agrees to keep the Accountant’s confidential pricing, systems, templates, and internal business information reasonably confidential.
10. Independent Contractor Status
The Accountant is acting as an independent contractor and not as an employee, partner, or agent of the Client, unless the parties expressly state otherwise in writing.
The Accountant is responsible for the Accountant’s own business operations, taxes, licenses, and insurance, to the extent required by applicable law.
11. Reliance on Client Information
The Accountant may rely on information and documents provided by the Client or by persons authorized by the Client.
The Accountant is not required to independently verify all information unless the parties specifically agree to audit, review, or verification services in writing.
12. Limitation of Scope
This Agreement covers only the services expressly listed in this Agreement.
Unless specifically included, the services do not include:
audit or assurance services;
fraud investigation;
legal advice;
investment advice;
business valuation;
representation in disputes, court, or government proceedings.
13. Intellectual Property and Work Product
Upon payment in full, the Client may use the reports, summaries, and deliverables prepared under this Agreement for the Client’s internal business or personal purposes.
The Accountant retains ownership of pre-existing templates, tools, systems, working papers, and methods used to perform the services, unless otherwise required by law.
14. Limitation of Liability
To the extent permitted by applicable law, the Accountant will not be liable for indirect, incidental, special, or consequential damages arising from the services provided under this Agreement.
The Accountant’s total liability, if any, will be limited to the amount actually paid by the Client under this Agreement for the services directly related to the claim, unless a different limit is required by law.
15. Termination
Either party may terminate this Agreement by giving [Number] days’ written notice.
The Accountant may terminate this Agreement immediately if the Client fails to pay as agreed, fails to provide required information, engages in illegal conduct, or otherwise materially breaches this Agreement.
Any fees earned or unpaid before termination will remain due and payable.
